1. About Cuegent

Cuegent is a chromatography data review platform built for accredited analytical testing laboratories in the United States. The platform is developed and operated by Cuegent.

cuegentlabs.com is an informational and lead-generation website. It does not provide real-time access to the Cuegent platform itself. Platform access is governed by a separate written agreement executed between Cuegent and each laboratory client.

2. Acceptance of Terms

By accessing cuegentlabs.com, submitting a contact or schedule a demo request form, subscribing to our newsletter, or otherwise using our services, you confirm that:

• You are at least 18 years of age
• You have the authority to enter into these terms on behalf of yourself or the organization you represent
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy

Use of this website on behalf of a laboratory, organization, or other entity constitutes acceptance of these Terms by that entity.

3. Permitted Use

cuegentlabs.com is intended for use by professionals at accredited analytical testing laboratories, contract laboratories, and related organizations operating in the United States. You may use the website to:

• Submit inquiries, demo requests, or pilot applications

4. Platform Access and Use

Access to the Cuegent platform, including batch processing, review workflows, and report generation, is available only under a separate written agreement between Cuegent and your laboratory. These terms do not grant any rights to access or use the platform itself.

Platform use is subject to:

• The applicable service agreement or pilot agreement executed with Cuegent
• Your laboratory's own quality system requirements and regulatory obligations
• Any applicable federal, state, or local laws governing analytical laboratory operations

Cuegent is a data processing and review preparation tool. Every result processed through the platform requires review and sign-off by a qualified analyst at your laboratory before release. Cuegent does not make autonomous analytical or diagnostic decisions.

5. Intellectual Property

All content on cuegentlabs.com, including text, graphics, logos, icons, images, software, and the overall design, is owned by or licensed to Cuegent and is protected by United States copyright, trademark, and other applicable laws.

You may view, download, and print content from cuegentlabs.com solely for your own informational and non-commercial purposes, provided you do not remove any copyright or proprietary notices. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from this website without Cuegent's prior written consent.

6. Information You Submit

When you submit information through our website including contact forms, schedule a demo form, or subscribe to a newsletter, you represent that the information you provide is accurate, current, and complete.

Any information you submit is governed by our Privacy Policy, which is incorporated into these Terms by reference. By submitting information, you consent to our collection and use of that information as described in the Privacy Policy.

You retain ownership of any instrument data, batch files, or laboratory information you voluntarily share with us during a pilot evaluation. Cuegent will use that information solely to demonstrate the platform's capabilities and will not share it with third parties without your written consent. Your data will not be used to train any model or system without your explicit written permission.

7. Disclaimer of Warranties

CUEGENTLABS.COM AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Cuegent does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected. Cuegent does not warrant the accuracy, completeness, or usefulness of any information on the website.

Nothing on cuegentlabs.com constitutes regulatory, legal, or compliance advice. Your laboratory is solely responsible for ensuring that any tools or workflows you adopt—including Cuegent comply with your applicable regulatory obligations, including 21 CFR Part 11, ISO 17025, EPA methods, and any applicable state regulations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUEGENT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE CUEGENTLABS.COM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, EVEN IF CUEGENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CUEGENT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, the limitations above apply to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Cuegent and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of cuegentlabs.com; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information you submit to Cuegent.

10. Third-Party Links and Services

cuegentlabs.com may contain links to third-party websites, including instrument manufacturers, LIMS providers, and industry organizations. These links are provided for convenience only. Cuegent does not endorse, control, or assume responsibility for the content or practices of any third-party website. Your use of any third-party website is subject to that site's own terms and privacy policy.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict-of-law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of cuegentlabs.com shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Arbitration shall take place in Collin County, Texas. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AND CUEGENT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

12. Changes to These Terms

Cuegent reserves the right to update or modify these Terms at any time. When we make changes, we will post the revised terms on this page with an updated effective date. Where changes are material, we will make reasonable efforts to notify users directly.

Your continued use of cuegentlabs.com after any changes constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you should discontinue use of the website.

13. Termination

Cuegent reserves the right to suspend or terminate your access to cuegentlabs.com at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the website ceases immediately.

Sections 5 (Intellectual Property), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), and 11 (Governing Law) survive any termination of these Terms.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cuegent with respect to your use of cuegentlabs.com and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Cuegent's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
